IMPORTANT NOTICE: PLEASE READ CAREFULLY BEFORE USING THE ENERGY ACTIVATOR APPLICATION AND PLATFORM:

These terms (together with the documents referred to in them) tells you the terms on which you may make use of the Energy Activator Application and Platform (Energy Activator), on behalf of your employer or organisation (Organisation).

Please read these terms before you start to use the Energy Activator.

If you do not agree to abide by these terms, you should not use the Energy Activator.

Information about us

We are JRP Solutions Limited (“we” or “us”), a company registered in England and Wales under company number 03886556 and have our registered office at Richmond House, Inglestone Common, Hawkesbury Upton, South Gloucestershire, GL9 1BX.

Changes to these terms

We may revise these terms at any time by amending this page.

Please check this page from time to time to take notice of any changes we have made.

Accessing the Energy Activator

Your Organisation has entered into a contract with us under which we have granted it a number of user licences to enable you, and other employees or representatives of your Organisation to use the Energy Activator.

Amongst other contractual terms, your Organisation has agreed that:

· it will not allow any user’s subscription to be used by more than one individual unless it has been reassigned in its entirety to another individual, in which case the prior individual shall no longer have any right to access or use the Energy Activator;

· each user shall keep a secure password for his use of the Energy Activator, that such password shall be changed no less frequently than yearly and that each user shall keep his password confidential;

· it shall permit us to audit the services we are providing to it in order to establish the name and password of each user of the Energy Activator. If an audit reveals that any password has been provided to any individual who is not an authorised user, then your Organisation shall promptly disable such passwords;

· neither it, nor any user, shall access, store, distribute or transmit any viruses, or any material during the course of its or their use of the Energy Activator that:

o is unlawful, harmful, threatening, defamatory, obscene, infringing, harassing or racially or ethnically offensive;

o facilitates illegal activity;

o depicts sexually explicit images;

o promotes unlawful violence;

o is discriminatory based on race, gender, colour, religious belief, sexual orientation, disability; or

o in a manner that is otherwise illegal or causes damage or injury to any person or property;

and we have reserved the right, without liability or prejudice to our other rights, to disable access to any material that breaches these provisions.

· it shall not except as may be allowed by any applicable law which is incapable of exclusion by agreement between the parties:

o and except to the extent expressly permitted under the agreement between us and your Organisation, attempt to copy, modify, duplicate, create derivative works from, frame, mirror, republish, download, display, transmit, or distribute all or any portion of the Energy Activator and/or documentation relating to it in any form or media or by any means; or

o attempt to reverse compile, disassemble, reverse engineer or otherwise reduce to human-perceivable form all or any part of the Energy Activator software;

· it shall not access all or any part of the Energy Activator in order to build a product or service which competes with it; or

· it shall not use the Energy Activator to provide services to third parties; or

· it shall not license, sell, rent, lease, transfer, assign, distribute, display, disclose, or otherwise commercially exploit, or otherwise make the Energy Activator available to any third party; or

· it shall not attempt to obtain, or assist third parties in obtaining, access to the Energy Activator.

Your organisation is liable for any actions by you that breach any of the above and has agreed to ensure that you will use the Energy Activator in accordance with the terms of the agreement between us and it and in compliance with all applicable laws and regulations.

Your account and password

· You must treat any password with which you are provided as confidential. You must not disclose it to any third party.

· If you know or suspect that anyone other than you knows your password, you should promptly notify your Organisation.

Services

· We have agreed to use commercially reasonable endeavours to make the Energy Activator available 24 hours a day, seven days a week, except for:

o planned maintenance carried out during the agreed maintenance window; and

o unscheduled maintenance performed outside normal business hours.

Intellectual Property and Confidentiality

· Your Organisation has agreed that we own all intellectual property rights in the Energy Activator.

· Your Organisation has agreed to hold our confidential information in confidence and shall take reasonable steps to ensure that you do not disclose or distribute our confidential information in breach of the agreement.
